OTFE 1, LLC is a Kansas limited liability company partnership. Even though OTFE is making offerings in accordance with federal guidelines covered under the Securities Act of 1933, pursuant to Regulation D, Kansas law is also being followed in that each round will only allow up to twenty five (25) investors. OTFE is a private investment company and not publicly traded.
In order to comply with Regulation D, only "accredited investors" may invest. To determine if you are an accredited investor, please refer to Section 501(a) of Regulation D under the Act.
For the current round of investing in OTFE 1, LLC, the minimum investment will be $50,000 with a maximum of $250,000. Units will be in increments of $5000.
Oak Tree Forest Estate, LLC ("Manager") is wholly-owned and controlled by Matthew J Eichman. Manager is the external manager and advisor of OTFE 1, LLC ("OTFE1") and OTFE 2, LLC ("OTFE2"). All reference to "OTFE" refer, as applicable, to Manager, OTFE1 or OTFE2. Unless explicitly stated to the contrary, all references to we,” “us,” and/or “our” shall refer to the OTFE Entities. An offering statement regarding this offering has not been filed with the SEC. This offering is structured as a non-traded real estate LLC partnership exempt from SEC filing under Regulation D of the Securities Act of 1933.
